Marvell Technology announced Monday a definitive agreement to acquire Lumentum Holdings in an all-stock transaction valued at approximately $115 billion. The deal combines Marvell’s data infrastructure semiconductor business with Lumentum’s manufacturing of lasers and circuit switches used in data centers. Marvell CEO Matt Murphy stated the acquisition is intended to position the merged entity as a leader in artificial intelligence (AI) connectivity as infrastructure shifts toward optical technology.
The announcement follows reports from late October that the two companies were in negotiations. Prior to the merger agreement, Lumentum was valued at approximately $85 billion, while Marvell held a market value of roughly $196 billion. Earlier this year, Nvidia Corporation reportedly said it was buying a $2 billion stake in Lumentum, according to Bloomberg.
Following the announcement, shares for both companies declined. Marvell shares fell more than 1% before the market opened, while Lumentum shares dropped nearly 3%. Marvell described the shift toward optical connectivity for AI data centers as a "once in a generation" opportunity.
The deal significantly consolidates control over the optical connectivity components used for AI data centers. Marvell CEO Matt Murphy indicated that this architectural shift is a transition that will set industry standards for decades. The involvement of Nvidia, which holds a $2 billion stake in Lumentum, underscores the interconnected nature of the AI hardware market.
The immediate impact was felt by investors on the day of the announcement as stock prices for both firms decreased by 1% to 3%. The long-term effects on product pricing and the competitive landscape for AI infrastructure remain to be seen as the companies integrate their operations. What happens next includes the standard regulatory review process and a vote by shareholders of both companies to approve the merger. While a specific closing date was not reported, the companies have entered into a formal agreement to combine their businesses.
